Applied Mergers & Acquisitions Workshop

 

The Applied Mergers & Acquisitions Workshop is a comprehensive and integrated transaction simulation which brings participants inside the world of M&A deals.  The workshop reviews basic-to-advanced Mergers and Acquisitions topics and techniques to prepare participants to anticipate, understand, and communicate M&A issues to clients / managers and to contribute to the execution of M&A transactions. 

 

Topics covered include:

 

·                    Maximizing shareholder value: assessing a company’s strategic, financial, and valuation position

·                    Selecting appropriate M&A and related equity markets transaction solutions based on assessment of market conditions and company’s strategic, financial, and valuation objectives

·                    Executing M&A transactions: detailed transaction process timelines for major transaction types

·                    Using the equity markets in M&A situations (tender offers, using stock as currency, repurchases, carve-outs, spin-offs, split-offs, etc.)

·                    Financing M&A transactions with equity and debt

·                    Hedging equity market risk in public M&A transactions

·                    Equity investor reaction to announcements of M&A activity

·                    Takeover defense issues

·                    Latest accounting and regulatory developments

ADVANCED FINANCIAL FORECASTING & MODELING

This workshop is designed to provide corporate finance professionals with an opportunity to develop their ability to build sophisticated financial forecast models in Excel.  Assumes working knowledge of accounting and Excel.  Topics covered include:

 

·                    How industries work: business operating models across various sectors

·                    Organizing and building forecasting models

·                    Basic and advanced techniques for forecasting I/S, B/S, and CF line items

·                    Sensitivity analysis

·                    Checking and de-bugging a model

·                    Extending the capability of your model: adding valuation, accretion / dilution, merger, and pro forma financing features to your model.

 

 

VALUATION TECHNIQUES

This workshop reviews valuation concepts and techniques for use in domestic and international markets for both public and private companies.  The workshop takes a hands-on approach to both mechanics and strategic valuation issues, and looks at the topic from the perspective of both the equity and M&A markets.  Topics covered include:

 

·                    Review of valuation uses and issues

·                    Public market relative valuation analysis

·                    Comparable transaction analysis

·                    Discounted cash flow analysis

·                    Cross-border valuation issues and techniques

·                    Private market issues and techniques
